They do not govern professional services engagements, deliverables, fees, intellectual property assignments, confidentiality, or any contractual arrangement between LogixWork and a client. Such matters are exclusively governed by separately executed written agreements (e.g., Master Services Agreements, Statements of Work, Non-Disclosure Agreements).

1. Acceptance of Terms

1.1 Agreement to Terms

By accessing, browsing, or using the LogixWork website at https://logixwork.com (the "Site"), you ("User," "you," or "your") acknowledge that you have read, understood, and agree to be bound by these Website Terms of Use ("Terms"), together with our Privacy Policy and Cookie Policy, which are incorporated herein by reference.

LogixWork is a software consultancy founded by Shravan Kumar Sharma, headquartered in Bangalore, Karnataka, India.

We provide technology strategy and implementation services to businesses, including:

3.1 Authorised Access

Subject to these Terms, LogixWork grants you a limited, non-exclusive, non-transferable, revocable licence to access and use this Site for lawful purposes, including:

7. Transmit harmful code: Upload, transmit, or distribute viruses, malware, ransomware, or any other malicious or harmful code or technology;

8. Illegal purposes: Use the Site in any manner that violates applicable Indian law, or the laws of any jurisdiction from which you access the Site, including but not limited to the Information Technology Act, 2000, the Indian Penal Code, or any applicable anti-spam or data protection legislation;

9. Interfere with the Site: Attempt to probe, scan, or test the vulnerability of the Site's systems or networks, or to breach or circumvent any security or authentication measures;

10. Frame or mirror: Use framing, deep-linking, or mirroring of any part of the Site without express prior written consent;

11. Competitive intelligence at scale: Use the Site to systematically collect information for the purpose of building a competing product or service, or providing information to a competitor of LogixWork.

3.3 Reservations

LogixWork reserves the right to:

4.1 Ownership

All rights not expressly granted in these Terms are reserved by LogixWork. Nothing in these Terms grants you any ownership interest in or licence to any intellectual property on this Site, except the limited browsing licence described in Section 3.1.

4.3 Restricted Uses

Without the prior written consent of LogixWork, you may not:

Any information submitted through the contact form before a formal Non-Disclosure Agreement (NDA) or confidentiality agreement has been executed between you and LogixWork is not subject to any confidentiality obligation on the part of LogixWork.

5.3 No Unsolicited Ideas

We appreciate your interest in LogixWork, but we do not accept unsolicited ideas, proposals, concepts, or creative materials that are submitted with an expectation of compensation or confidentiality beyond what is described in these Terms. Any unsolicited submissions become the property of LogixWork, and we are under no obligation to acknowledge, review, or return them.

6.1 Calendly

Our website uses Calendly, a third-party meeting scheduling service operated by Calendly LLC (Atlanta, Georgia, USA), to enable you to book consultation or discovery calls. When you use the Calendly widget on our Site:

8.2 Cap on Direct Liability

To the extent that LogixWork is found liable for direct damages arising from your use of this Site (excluding professional services engagements, which are subject to separate contractual liability provisions), our total liability shall be limited to INR 1,000 (One Thousand Indian Rupees), or the maximum amount permitted by applicable law, whichever is lower.

8.3 Applicable Law Exceptions

Some jurisdictions do not allow the exclusion or limitation of certain types of liability. In such jurisdictions, our liability shall be limited to the maximum extent permitted by law. These limitations do not apply to:

• Death or personal injury caused by LogixWork' proven gross negligence or fraud;

12.2 Exclusive Jurisdiction

Subject to Section 12.3, any dispute arising out of or in connection with these Terms or your use of this Site shall be subject to the exclusive jurisdiction of the courts of Bengaluru, Karnataka, India.

12.3 Alternative Dispute Resolution

Before commencing formal legal proceedings, the parties agree to attempt in good faith to resolve any dispute through direct negotiation. A party asserting a dispute shall notify the other party in writing at info@logixwork.com with a description of the dispute and proposed resolution. The parties shall have 30 calendar days from receipt of such notice to attempt resolution before either party may commence court proceedings.

12.4 Consumer Rights

Nothing in these Terms is intended to limit or exclude rights that cannot lawfully be waived under mandatory consumer protection laws applicable in your jurisdiction.

13. General Provisions

13.1 Entire Agreement

These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and LogixWork with respect to your use of this Site and supersede all prior understandings, agreements, or representations relating to the same subject matter.

13.2 Severability

If any provision of these Terms is found to be invalid, unlawful, or unenforceable by a court of competent jurisdiction, that provision shall be severed from the remaining Terms, which shall continue in full force and effect.

13.3 Waiver

LogixWork' failure to enforce any provision of these Terms shall not be construed as a waiver of its right to enforce that provision at a later date. No waiver of any breach of these Terms shall be a waiver of any other breach.

13.4 No Assignment

You may not assign or transfer any rights or obligations under these Terms to any third party without the prior written consent of LogixWork. LogixWork may assign these Terms or any rights hereunder without restriction.

13.5 Headings

Section headings in these Terms are for convenience only and shall not affect the interpretation of these Terms.

13.6 Language

These Terms are written in English. In the event of any conflict between an English version and a translated version, the English version shall prevail.
